Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of BataDB, the managed serverless Postgres platform (“BataDB” or the “Service”) operated by BataData, Inc. (“BataData,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

BataDB provides hosted PostgreSQL databases with features including instant database branching, scale-to-zero compute, connection pooling, autoscaling, and query insights. The Service is accessed through a web dashboard, command-line interface, and REST API. We may add, change, or remove features over time.

3. Beta Service & SLA Disclaimer

The Service is currently offered in a beta capacity. It is provided “as is” and “as available” without any service-level agreement (SLA), uptime guarantee, or warranty of any kind. We do not commit to a specific availability target during the beta period and may modify, suspend, or discontinue all or part of the Service at any time. You should maintain your own backups of any data you consider important.

4. Accounts & Eligibility

You are responsible for safeguarding your account credentials and API keys and for all activity that occurs under your account. You must provide accurate information and promptly update it as needed. You must be at least the age of majority in your jurisdiction to use the Service. You are responsible for the conduct of all members of any organization or team you administer.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right, including intellectual property and privacy rights.
• Store or transmit malicious code, or attempt to gain unauthorized access to the Service, other customers’ data, or our infrastructure.
• Interfere with or disrupt the integrity or performance of the Service, including through excessive load, denial-of-service activity, or circumvention of usage limits.
• Use the Service to send spam, host phishing content, or engage in fraudulent or deceptive activity.
• Resell or provide the Service to third parties except as expressly permitted by us in writing.

We may suspend or terminate access for violations of this section, with or without notice where necessary to protect the Service or other users.

6. Your Data & Ownership

You retain all rights to the data you store in or submit to the Service (“Customer Data”). You grant us a limited license to host, process, transmit, and display Customer Data solely as necessary to provide and maintain the Service. We do not claim ownership of Customer Data and do not use it to train machine learning models. Our handling of personal data is described in our Privacy Policy.

7. Fees & Plans

Paid plans are billed in advance on a recurring basis according to the pricing in effect at the time of purchase. Usage-based charges (such as compute hours and storage) are billed as incurred. Fees are non-refundable except where required by law. We may change pricing on a prospective basis with reasonable notice. Failure to pay may result in suspension or termination of the Service.

8. Intellectual Property

The Service, including the control plane, dashboard, and website, is the proprietary property of BataData, Inc. and is protected by intellectual property laws. Certain client libraries are made available under open-source licenses; your use of those components is governed by their respective license terms. Except for the rights expressly granted to you, no other rights are granted under these Terms.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or if we discontinue the Service. Upon termination, your right to use the Service ceases. We may delete Customer Data following a reasonable retention period after termination; you are responsible for exporting any data you wish to keep beforehand.

10. Disclaimers & Limitation of Liability

To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, BataData, Inc. and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising out of or related to your use of the Service.

11. Governing Law

These Terms are governed by the laws of [Governing Law Jurisdiction — to be specified], without regard to its conflict of laws principles. The exclusive venue for any dispute arising out of these Terms shall be the courts located in [Venue — to be specified].

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
